Terms and Conditions

## 1. Scope and provider

1.1 These Terms and Conditions ("Terms") apply to all orders placed via www.soundse.com ("Store") with:

Daniel Kraft, trading as SOUNDSE. Contact: info@soundse.com ("we", "us", "SOUNDSE").

1.2 Our products are digital audio files (music tracks, sold individually and in bundles/packs) supplied together with a commercial usage license (see our separate **License Terms**).

1.3 The contract language is English. We sell to both consumers and businesses ("you", "customer") worldwide, subject to any restrictions in Section 3.

## 2. How a contract is formed

2.1 The presentation of products in the Store is not a binding offer but an invitation to place an order.

2.2 By completing the checkout and clicking the order button ("Check out" / "Pay now"), you make a binding offer to purchase the products in your cart.

2.3 A contract is concluded when we confirm your order and/or make the download available, typically by an order confirmation email.

## 3. Eligibility

You must be at least 18 years old (or have the consent of a legal guardian) and legally able to enter into contracts. We may refuse or cancel orders in cases of suspected fraud or breach of these Terms.

## 4. Prices and payment

4.1 Prices are shown in [CURRENCY — e.g. USD/EUR] and are the total prices.

4.2 **VAT:** [CHOOSE — CONFIRM WITH YOUR TAX ADVISOR: "As a small business under § 19 UStG, no VAT is shown separately." / "Prices include applicable VAT."] Depending on your country of residence, additional local taxes or duties may apply at your own expense.

4.3 Payment is due immediately upon ordering, via the payment methods offered at checkout. Payment processing is handled by our payment providers.

## 5. Delivery of digital products

5.1 Products are delivered digitally. After successful payment, you receive access to a **download link and/or an email** containing your files, normally immediately or within a few minutes.

5.2 Download links may be subject to reasonable limits (e.g. number of downloads or a validity period). If a link expires or fails for technical reasons, contact info@soundse.com and we will provide renewed access.

5.3 It is your responsibility to download and securely store your files. We recommend keeping your own backup, as well as your order confirmation and license document.

## 6. Right of withdrawal (consumers) and digital content

6.1 If you are a consumer, you generally have a statutory right of withdrawal. Full details are set out in our separate **Right of Withdrawal / Cancellation Policy**.

6.2 **Important — digital content:** Because our products are digital content delivered immediately, your right of withdrawal **expires** once we begin delivery, **provided that** you have (a) expressly consented to us beginning performance before the end of the withdrawal period, and (b) confirmed your acknowledgement that you thereby lose your right of withdrawal (§ 356 (5) BGB). You give this consent and acknowledgement at checkout before completing your purchase. If you do not give it, delivery only begins after the withdrawal period ends.

## 7. License / usage rights

The music files are licensed, not sold as ownership. Your rights to use the music, permitted and prohibited uses, and important information about tracks created with the assistance of AI tools, are set out in our **License Terms**, which form an integral part of these Terms.

## 8. Warranty (statutory rights)

8.1 The statutory warranty rights for defects apply. For digital products, this means the products must correspond to the agreed description and be free from material defects at the time of delivery.

8.2 If a file is defective or does not match its description, contact info@soundse.com and we will, at our discretion and in line with your statutory rights, provide a corrected file, replacement, or refund.

## 9. Liability

9.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act, as well as under any guarantee we have given.

9.2 For slight negligence, we are liable only for breach of a material contractual obligation (an obligation whose fulfilment is essential to the proper performance of the contract and on whose observance you may regularly rely), and in that case only for foreseeable, typical damage.

9.3 Any further liability is excluded. This does not affect mandatory statutory consumer rights.

## 10. Customer obligations

You agree not to use the products in any unlawful manner, not to breach the License Terms, and not to circumvent any technical or usage limitations.

## 11. Applicable law and jurisdiction

11.1 These Terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

11.2 If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of habitual residence.

11.3 For customers who are merchants, legal entities under public law, or special funds under public law, the place of jurisdiction is our registered place of business, to the extent legally permissible.

## 12. Online dispute resolution

The EU online dispute resolution platform is available at https://ec.europa.eu/consumers/odr. We are not obliged or willing to participate in dispute resolution proceedings before a consumer arbitration board.

## 13. Severability

Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
